Adobe and Figma Call Off Their US$20 Billion Merger
- On 18 December 2023 Adobe and Figma announced a mutual agreement to terminate their merger agreement, first announced on 15 September 2022, under which Adobe would have acquired Figma for cash and stock[1]
- The companies said they jointly assessed there was no clear path to approvals from the European Commission and the UK Competition and Markets Authority[1]
- Adobe's blog said the CMA and the European Commission both had objections and the US Department of Justice was also reviewing the deal after over a year of engagement with the agencies[2]
- The termination agreement resolved all outstanding matters, including Adobe paying Figma the previously agreed termination fee, which Creative Bloq put at US$1 billion on a US$20 billion deal[1][3]
- CEO Shantanu Narayen said Adobe and Figma strongly disagreed with the recent regulatory findings but believed it was in their best interests to move forward independently[1]
