EU Signs the Women on Boards Directive Setting a 40% Board Target
- The directive on improving the gender balance among directors of listed companies was signed in Strasbourg on 23 November 2022 and published in the Official Journal on 7 December 2022[1][4]
- Member states must make large listed companies reach, by 30 June 2026, either 40% of non-executive director positions or 33% of all director positions held by the underrepresented sex[4]
- Companies below the target must pick directors through a comparative assessment using clear, gender-neutral criteria, report once a year to national authorities, and face penalties such as fines or annulment of a director's appointment[3][4]
- Small and medium-sized enterprises (fewer than 250 employees and turnover up to EUR 50 million or balance sheet up to EUR 43 million) are excluded[3][4]
- The Commission proposed it in November 2012 and Parliament voted its first reading in November 2013, but the Council only adopted its position on 17 October 2022, ahead of Parliament's final vote on 22 November 2022[2][5]
- National laws were due by 28 December 2024, and the directive expires on 31 December 2038 unless extended[4]
